GTA IV lags after playing 10 minutes

So the problem is very annoying. I have patch 1.0.7.0, GTA IV lags heavily after playing for 10-20 minutes max settings from 30-60 fps to 10-25 fps. I've tried every solutions, but none works. During the lag, my GPU temp is 60 celcius. My CPU temp is 50-60 celcius, so as you can see, it's not overheating issue. Before, I used 32 bit, each game lags after playing 10 minutes. But when I upgraded to 64 bit, only GTA IV lags. When I set the graphics settings to low, it works. But when I set to high, it lags immediately. Any help is appreciated (I've tried commandline, it's not working also.)

Intel core i7 2600k

Nvidia GTX 760 2 GB

8 GB RAM DDR3

Windows 7 64 bit Ultimate

Cooler Master 700w silent pro

Ya already updated the driver. I don't have the internet yet since i just upgraded the windows to 64 bit, so there is no antivirus for a moment.... Im currently using another PC

Ok, seems to be a little bit out of topic but I played Watch Dogs, it lags after a while also...

Shadows set in max will eat a lot of resources.

Set "Shadows" in low and lower the resolution a bit.

That's the VRAM, not the RAM. I've put the commandline. the problem still presists...thx for the help btw

Holy God, I checked the temprature of my Motherboard, it reaches about 112 celcius when I play GTA IV.... Simply amazing..... I'll buy a new motherboard...
