What about video drivers? Have you updated them too?

Try deleting all files from the Settings folder. Location - C:\Documents and Settings\<user>\Local Settings\Application Data\Rockstar Games\GTA IV\Settings

If that doesn't help, then try Xliveless. If it works, then it could be a GFWL related issue, in which case, reinstall GFWL and update again.

You're gonna hate me for this one, but it looks like your processor may not be up to the task. The stated system requirements call for at least a Core2 Duo, while your Pentium D is a generation older than that. Yes, the system requirements say Core2 Duo at 1.8GHz, while your Pentium D is at 2.8GHz, but there was a very large improvement in processors between the Pentium D and the Core2, allowing them to run at lower Speeds while actually having more processing power. In terms of raw computing power a Core2 Duo at 1.8GHz is 30% more powerful than a Pentium D at 2.8GHz. And the Core2 at 1.8GHz is the minimum according to the game box. Even if you could get the game running on your Pentium D, you would not like the results as the game would run very poorly.

On the bright side the Core2 and the Pentium D processors are both Socket 775, meaning that you can most likely just drop in a Core2 without having to upgrade the rest of your system. You should double-check to make sure your motherboard supports it though. You may have to do a BIOS update for your Motherboard to use it.

Well, the first step would be to check to see if your motherboard can handle a Core2 CPU as it is. If it can then you don't need to update your Motherboard, you would just need to buy a new CPU and drop it in. If it can't then you will probably need to update the BIOS first, then you can drop in a better CPU.

Do you know what kind (Brand and Model) of motherboard you have and what BIOS revision it has? The easiest way to find out would be to check DXDiag. Open your start menu, type "dxdiag" (without the quotes) and hit enter. A window will then pop up showing info about your system. You want the System Manufacturer, System Model, and BIOS info, which should all be listed on the first page of the DXDiag window. Post that info here, and I'll help you find out if you can drop in a better processor as-is, or if you need to do other stuff first.

Have you ever used any mods? Has the game worked for you at any time? Do you have some sort of disk imaging software installed?

The CPU is weak, but its should start the game.

Uninstall the game and GFWL completely. Make sure all GTAIV related files are gone from the Program files. Perform a driver clean up, install some driver version you fancy and update directx. Now install the game, apply something like patch 1.0.3.0 and xliveless.
