You seem to have a DirectX related error.

What is the video card you are using. Some on board (integrated to the motherboard and mostly the Intel and VIA one) do not support all the features of DirectX that game use. Like lighting and shadow effects.

You can try reinstalling DirectX from your GTA IV disk but if your video card is not 100% DirectX 9c or higher compliant, it will not solve your problem.

Sorry, i did not noticed that you had specify your 9800GT video card. No worry, you card fully support the DirectX requirements for GTA IV.

In that case, try reinstalling DirectX from your GTA IV disk or you can download it from Microsoft:

DirectX

My old PC ran a similar setup but a different graphics card. I had trouble getting it to run. You can try uninstalling any previous .NET framework 2.0 and 3.0 (patch). Reinstall .NET framework 3.0 SP1 (or newer)

Reinstall DirectX 9.0c

You can patch the game afterwards. Look in the faq

Look at the back of your PC, where is the cable coming from your monitor connected? If the connector is higher among the other USB and whatnot connectors, then you're using the inbuilt graphics device on the mobo, as warlord. suggests. There should be another graphics card connector below, placed horizontally for your discrete GPU.
