If you can't figure out how to convert from III to VC, then you should try to get some more experience in modding before you post here. You shouldn't have to do anything to the model except rename the file, the only thing you have to do with the TXD is maybe compress the textures, which is like three clicks in TXD Editor, and again rename the file.
