Costs a lot of money, and iirc is difficult to upgrade a forum as large as this one without breaking plugins and causing major problems. 1.3 is fine for this forum. The staff are working on GTANet 2.0 anyway, which will be their own forum software. It won't be out for ages yet, but the forums work fine for now. You wouldn't believe how many people have asked that question (including me), it's just not neccessary right now. And anyways, 2.3.4 isn't even the newest, it's 2.3.5. I believe the staff is highly skilled to take care of these details. And in any case, they aren't going to reveal all the technical details, are they? Besides, who knows where you'll be by 2012? Post Count should be a fairly simple database copy, Members should be fairly similar and as for topics, the current software could be kept on a 'Legacy' basis for non-essential topics (Basically those under The Lounge area) for a while until a switch off date and the rest should be able to be copied over in much the same manner as changing a Excel xls file to a Lotus wks file and vice versa, either by a straightforward export (depending on the software formats or database format) or by a macro piece of software that will convert it.
